Welcome to MW Dynamics (“MW Dynamics”, “we”, “us”, or “our”).
These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our Services.

1. Eligibility

By using our Services, you represent and warrant that:

  • You are at least 18 years old (or the age of majority in your jurisdiction); and

  • You have the legal capacity to enter into a binding contract with us.

If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.

2. Accounts and Registration

To access certain features of the Services, you may be required to create an account and provide accurate, current, and complete information.

You agree to:

  • Keep your login credentials confidential;

  • Not share your account with any third party; and

  • Notify us immediately of any unauthorized use of your account or security breach.

You are responsible for all activities that occur under your account.

4. Orders, Payments, and Billing (If Applicable)

  • Prices, descriptions, and availability of products or services are subject to change without notice.

  • By placing an order, you represent that all information you provide is accurate, complete, and current.

  • You authorize us (or our payment processors) to charge your payment method for all applicable fees, including any taxes or charges.

All payments are non-refundable unless otherwise stated in writing or required by applicable law.

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content, except as expressly permitted by these Terms or with our prior written consent.

6. User Content

If you submit, upload, or transmit any content to or through the Services (“User Content”), you grant MW Dynamics a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and improving the Services.

You represent and warrant that:

  • You own or control all rights in and to the User Content; and

  • The User Content does not infringe, misappropriate, or violate any third-party rights or applicable laws.

We may, but are not obligated to, monitor or remove User Content that we deem to be unlawful, offensive, or otherwise objectionable.

7. Third-Party Links and Services

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by MW Dynamics.

We are not responsible for:

  • The availability, accuracy, or content of such third-party sites or services; or

  • Any damages or losses arising from your use of, or reliance on, any third-party sites, services, or content.

Your use of third-party sites and services is at your own risk and subject to the terms and policies of those third parties.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

9. Disclaimers

The Services and all Content are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied.

To the fullest extent permitted by law, MW Dynamics disclaims all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;

  • Any warranties arising from course of dealing or usage of trade;

  • Any warranties that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components;

  • Any warranties regarding the accuracy, completeness, or reliability of any Content.

You use the Services at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, in no event shall MW Dynamics, its affiliates, directors, officers, employees, agents, or licensors be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages;

  • Loss of profits, revenue, data, goodwill, or other intangible losses;

arising out of or in connection with:

  • Your access to or use of (or inability to access or use) the Services;

  • Any conduct or content of any third party on the Services.

  • Any content obtained from the Services; or

  • Unauthorized access, use, or alteration of your transmissions or data,

whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded, our total aggregate liability in connection with the Services shall be limited to the amount you have paid to us (if any) in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless MW Dynamics and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your use of the Services;

  • Your violation of these Terms; or

  • Your violation of any rights of another party, including intellectual property or privacy rights.

12. Governing Law and Dispute Resolution

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Spain, and you hereby consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page.

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Services.

14. Termination

We may, in our sole discretion, suspend or terminate your access to the Services at any time and for any reason, including if we reasonably believe that:

  • You have violated these Terms; or

  • Your actions may cause harm or legal liability to MW Dynamics or others.

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitations of liability, and indemnification) shall continue in full force and effect.
